Vote for Online Elections Amendment to Bylaws
ARTICLE VI – OFFICERS
Section 1. The Election of Officers

Paragraph 1: The officers of the organization shall consist of:
  • President
  • Vice-President
  • Secretary
  • Treasurer

Paragraph 2: The President and Vice-President are elected by the membership of the organization in an online election, during the month of December, or as soon thereafter as is feasible.

Paragraph 3: The elected officers of the organization shall take office upon January 1 of each year and shall end their term of office on December 31.

Paragraph 4: Officer candidates not currently on the Board or with expiring Director positions must run for a Director position as well, if they wish to still be on the Board in the event they are not elected for an Officer position.

Paragraph 5: Charter Members of the organization shall have the right to nominate candidates. Nominations will take place online, and nominations will be open for a minimum of 1 week and take place during the second half of November, or as soon as feasible thereafter. Nominees must approve or decline their nomination within the time permitted.

Paragraph 6: Voting will take place online via an online poll. A quorum does not have to be met. The poll shall keep user names private and the vote tallies public to verify percentage of votes for each candidate. The site admin will verify vote validity. Polls will be open for a minimum of 1 week. An officer shall be declared elected when at the close of voting he/she has a majority of the total votes cast for said office in which he/she is a candidate. When no single candidate receives a majority of the votes cast, the membership shall vote a second time upon the two candidates for the office that received the greatest number of votes.



ARTICLE V – BOARD OF DIRECTORS
Section 1. Membership of the Board of Directors:

Paragraph 1: The Board of Directors of the organization shall consist of:
  • President
  • Vice-President
  • No less than four, or more than 10 Directors elected at large from the organization’s membership.

Section 2. Election of the At-Large Directors
Paragraph 1: The At-Large Directors shall be nominated and voted on by the membership at the same time as the Officer Elections, in the same manner as the election of officers, with the exception that Charter Members will have one vote for each vacancy on the Board of Directors. The positions will be filled based upon votes. In the event that both 1 and 2 year Board positions are available, each position will be filled by the choice of each elected Director, in order from highest to lowest, based upon the votes received in the election.

Section 3. Vacancies on Board of Directors
Paragraph 1: In the event of a vacancy on the Board, other than an Officer, the available position shall be announced by the Board of Directors.

Paragraph 2: Online nominations with a subsequent online election shall commence upon posting of the vacancy, in the same manner as the Election of At Large Directors.
