after Rob resigned, the board discussed this and decided not to fill any positions at this time since we are right in the middle of the required number of board members according to the bylaws.
from the bylaws:
ARTICLE V – BOARD OF DIRECTORS
Section 1. Membership of the Board of Directors:
Paragraph 1: The Board of Directors of the organization shall consist of:
1. President
2. Vice-President
3. No less than four, or more than 10 Directors elected at large from the organization membership.and should the need arise to fill positions, prospective board members would be appointed by the current BOD with approval from the charter membership by a vote.
from the bylaws:
ARTICLE V – BOARD OF DIRECTORS
Section 3. Vacancies on Board of Directors
Paragraph 1: In the event of a vacancy on the Board, the available position shall be announced by the Board of Directors.
Paragraph 2: The Board of Directors shall appoint an interim Director to serve the remainder of the term.and amended in the bylaws here:
Article IX – Amendments
Paragraph 5: New Board members
a. Any new prospective board members must be approved by a simple majority vote of charter members, it will be a yes/no vote that will remain open for one week. If a candidate is voted down and a spot is still open, the board will then and only then have the right to appoint an interim BOD of their choice with a majority vote of board membersas you can see, the by-laws are not great pertaining to this and need to be revamped for clarity once the tax status is finalized. we have submitted all requested info and are awaiting final approval there.
